These Terms and Conditions ("Terms") govern the provision of web design, development, hosting, and related digital services ("Services") by HowdyPixel, operated by Charlie ("we", "us", "our") to you ("the Client", "you", "your"). By engaging HowdyPixel for any Services, you agree to be bound by these Terms in full. If you do not agree, you must not engage our Services.
"Project" means any website design, development, hosting, email setup, domain registration, logo design, Google Business Profile optimisation, SEO, or related work agreed between us. "Deliverables" means all files, designs, code, content, and digital assets produced as part of a Project. "Working Days" means Monday to Friday, excluding UK public holidays.
All quotations are valid for 14 days from the date issued unless stated otherwise. A quotation becomes a binding agreement once you confirm acceptance in writing (including WhatsApp, email, or message) and the required deposit has been received. Prices quoted are exclusive of VAT unless explicitly stated. We reserve the right to adjust quotations if the scope of work changes materially after acceptance.
A non-refundable deposit of 50% of the total project cost is required before work commences. The remaining balance is due upon completion of the Project and before the website or Deliverables are made live or transferred to you. Hosting, email, and ongoing services are billed monthly in advance. Late payments may incur interest at 4% above the Bank of England base rate, calculated daily. We reserve the right to suspend or remove any live website or service if invoices remain unpaid for more than 14 days beyond the due date.
The scope of each Project is defined by the agreed quotation. Any work requested beyond the original scope — including additional pages, features, design revisions beyond two rounds, or content changes — will be quoted separately and must be agreed before work proceeds. We are not obligated to carry out work outside the agreed scope without additional payment.
You are responsible for providing all content, images, branding assets, login credentials, and information reasonably required to complete the Project in a timely manner. Delays caused by late or incomplete provision of materials may extend the delivery timeline and do not constitute grounds for refund or reduction in fees. You warrant that any materials you provide do not infringe the intellectual property rights of any third party and that you have the necessary rights and permissions to use them.
Estimated delivery dates are provided in good faith but are not guaranteed. HowdyPixel will make reasonable efforts to meet stated timelines. We shall not be liable for delays caused by circumstances beyond our reasonable control, including but not limited to acts of God, third-party service failures, domain registrar issues, or delays in the Client providing required materials or feedback.
Upon receipt of full and final payment, ownership of the website design and bespoke content created specifically for your Project transfers to you. However: (a) HowdyPixel retains ownership of all underlying frameworks, plugins, code libraries, tools, and systems used to build the website, including any proprietary or custom-built software; (b) we retain the right to use the Project in our portfolio, marketing materials, and case studies unless you request otherwise in writing; (c) any third-party assets (fonts, stock images, icons, plugins) remain subject to their respective licences.
Hosting is provided on a rolling monthly basis with no minimum contract. You may cancel hosting with 30 days' written notice. Upon cancellation, your website will be taken offline at the end of the paid period. We will make reasonable efforts to provide you with a backup of your website files and database upon request, subject to an administration fee if applicable. We do not guarantee 100% uptime but aim for 99.5% availability. We are not liable for downtime caused by third-party hosting providers, DNS propagation, cyber attacks, or circumstances beyond our control.
Where we set up or manage third-party services on your behalf (including but not limited to Microsoft 365, Google Workspace, domain registrars, Stripe, WooCommerce, Google Business Profile), these services are subject to their own terms and conditions. We act as a facilitator and are not responsible for changes to pricing, features, availability, or policies of third-party providers. Any recurring costs for third-party services are your responsibility and will be clearly communicated.
You are responsible for ensuring that all content published on your website complies with applicable UK laws, including data protection legislation (UK GDPR), the Equality Act 2010, Consumer Rights Act 2015, and any industry-specific regulations. We may refuse to publish content that we reasonably believe to be unlawful, defamatory, discriminatory, or in breach of third-party rights.
To the fullest extent permitted by law: (a) our total liability for any claim arising from or related to the Services shall not exceed the total fees paid by you for the specific Project giving rise to the claim; (b) we shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, profit, data, business, or reputation; (c) we shall not be liable for any losses arising from your use of the website, your failure to maintain backups, or your reliance on third-party services configured as part of the Project.
You agree to indemnify and hold harmless HowdyPixel, its owner, and any associated parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) content you provide or publish; (c) your use of the website or Services; (d) any third-party claims relating to your business or website.
Either party may terminate a Project by providing written notice. If you terminate a Project after work has commenced: (a) the deposit is non-refundable; (b) you are liable for payment for all work completed up to the date of termination, which may exceed the deposit amount. If we terminate a Project due to your breach of these Terms or persistent non-cooperation, the same conditions apply. We reserve the right to terminate hosting or any ongoing service with 30 days' notice for any reason.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including natural disasters, pandemics, government actions, internet or power outages, or third-party service failures.
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued engagement of our Services following any changes constitutes acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with any agreed quotation, constitute the entire agreement between you and HowdyPixel with respect to the Services and supersede all prior agreements, representations, and understandings.
